1. Who these terms are with
These Demo Access & Evaluation Terms ("Terms") are an agreement between you and MMMmc, LLC, a Georgia limited liability company located in Ringgold, Catoosa County, Georgia ("MMMmc"). MMMmc is the sole and exclusive owner of the Brooks Band therapist dashboard and its related software, workbooks, report formats and materials (the "Dashboard"). Sensory Bridges, LLC, a Tennessee limited liability company ("Sensory Bridges"), licenses the Dashboard from MMMmc and presents this demonstration under that license. In these Terms, "we" and "us" mean MMMmc and, where the context is Sensory Bridges' presentation of the demo, Sensory Bridges as MMMmc's licensee. Sensory Bridges is an intended third-party beneficiary of these Terms and may enforce them. If you accept on behalf of a practice, company or other organization, you confirm you have authority to bind it, and "you" includes that organization.
2. Accepting these terms
You accept these Terms by checking the boxes, typing your name, and selecting "Agree and open the demo." If you don't agree, don't access the demo. You must be at least 18 years old.
3. Evaluation license
Subject to these Terms, MMMmc (directly or through its licensee Sensory Bridges) grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use a demonstration of the Dashboard, its sample workbook, related pages and materials (together, the "Demo") for twenty-four (24) hours from acceptance, solely to evaluate whether you or your organization wish to license Brooks Band. Your access is personal to you; do not share your access with anyone else.
4. Licensed, paid product
Brooks Band™, the Atlas™ evidence engine, MirrorMatch™, and their software, workflows, reports, templates and documentation are proprietary products offered under paid license. Access to the Demo is free, but it does not grant any right to use Brooks Band with clients, in clinical practice, or for any production, commercial or billing purpose. Any such use requires a separate written license or pilot agreement signed by MMMmc or by Sensory Bridges as MMMmc's authorized licensee, and fees, terms and availability will be stated in that agreement. Features shown in the Demo may change, may not be available in every offering, and are not a commitment to deliver any feature.
5. What you may not do
You will not, and will not help anyone else to:
- copy, download (other than as the Demo expressly allows), screenshot, record, scrape, frame, publish, or distribute the Demo or any part of it;
- reverse-engineer, decompile, disassemble, or attempt to extract source code, data models, formulas, workflows, or underlying methods;
- use the Demo or anything learned from it to design, build, train, or improve a competing product or service, or for competitive analysis;
- share your access, sell, rent, lend, or sublicense the Demo;
- remove or alter any proprietary, confidentiality, trademark, or copyright notice;
- enter real client, patient, student, or personal health information into the Demo;
- use the Demo in violation of any law or to harm anyone; or
- interfere with, probe, or attempt to bypass any access control or security of the Demo or our systems.
6. Confidentiality
The Demo, and any non-public information we share about Brooks Band (including product design, workflows, report formats, billing workflows, pricing, roadmap, and business plans), is our "Confidential Information." You will use it only to evaluate Brooks Band, protect it with at least reasonable care, and not disclose it to anyone except your own colleagues who need to know it for that evaluation and are bound by confidentiality obligations at least as protective as these. These obligations do not apply to information that is or becomes public through no fault of yours, that you already lawfully knew, that you receive lawfully from someone else without a duty of confidentiality, or that you independently develop without using our information. You may disclose Confidential Information if required by law, after giving us prompt notice where lawful. These obligations last for three (3) years after your last access to the Demo, and for any trade secret, for as long as it remains a trade secret.
7. Ownership
MMMmc exclusively owns all rights, title and interest in the Dashboard and the Demo, and MMMmc, Sensory Bridges and their licensors own their respective rights in Brooks Band, including all intellectual property rights, which may be protected by copyrights, trademarks, trade secrets, patents and pending patent applications. No rights are granted to you except the limited license in Section 3. All rights not expressly granted are reserved.
8. Feedback
If you give us suggestions, ideas, or comments about Brooks Band or the Dashboard ("Feedback"), you grant MMMmc a perpetual, irrevocable, worldwide, royalty-free right to use it for any purpose without obligation to you. Feedback is not your Confidential Information.
9. Sample data only
The Demo shows a fictional sample client. Any resemblance to a real person is coincidental. The Demo is not designed to receive, store, or process protected health information, and you agree not to enter any. The Demo runs in your browser; if you open your own files in it despite this section, you do so at your own risk and responsibility.
10. No professional advice
The Demo is for product evaluation only. Nothing in it is clinical, medical, psychological, legal, billing, coding, or reimbursement advice. Billing codes, workflows, examples and figures are illustrative. Coverage, payer rules, practitioner eligibility, authorization, documentation and coding decisions remain solely the responsibility of you and your practice, and every clinical note must be reviewed and signed by a qualified professional.
11. No warranty
THE DEMO IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OR ERROR-FREE OPERATION, TO THE FULLEST EXTENT PERMITTED BY LAW.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, MMMMC, SENSORY BRIDGES, AND THEIR RESPECTIVE MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE DEMO OR THESE TERMS, EVEN IF ADVISED OF THEIR POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE DEMO OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
13. Your responsibility
You will defend, indemnify and hold harmless MMMmc and Sensory Bridges from any third-party claims, losses and reasonable expenses (including attorneys' fees) arising from your breach of these Terms or your misuse of the Demo. Because a breach of Sections 5, 6 or 7 could cause us irreparable harm, we may seek injunctive or other equitable relief, in addition to any other remedy, without posting a bond where permitted.
14. Ending access
Your access ends automatically twenty-four (24) hours after acceptance. You may request additional access, which we may grant or refuse in our discretion. We may suspend or end your access at any time, for any reason, including a suspected breach. On request, or when access ends, you will stop using the Demo and delete any copies of Demo materials. Sections 4 through 13 and 15 through 18 survive.
15. Privacy
Our Privacy Notice explains what we collect when you request and use Demo access, including a record of your agreement to these Terms.
16. Electronic agreement
You agree that checking the boxes, typing your name, and selecting "Agree and open the demo" is your electronic signature, has the same effect as a handwritten signature, and that we may keep an electronic record of your agreement (including the date, time, version of these Terms, and technical information such as IP address and browser). You may ask us for a copy of the Terms you accepted at any time.
17. Governing law and disputes
These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-laws rules. The state courts located in Catoosa County, Georgia, and the United States District Court for the Northern District of Georgia, will have exclusive jurisdiction over any dispute arising from these Terms or the Demo, and you consent to their personal jurisdiction and venue. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition or sale of assets. These Terms are the entire agreement about the Demo and supersede prior statements about it; a signed license or pilot agreement with us will control over these Terms for the use it covers.
18. Changes and contact
We may update these Terms for future demo access by posting a new version; the version you accepted applies to your access unless you accept a newer one. Questions: Megan.Cales@sensorybridges.com. MMMmc, LLC, Ringgold, Catoosa County, Georgia · Sensory Bridges, LLC, Chattanooga, Tennessee.
